Brand Terms
These are the terms for brands using Brand Workspace. Agencies, consultants and other providers: see the Provider Terms.
Effective date: November 16, 2026
These terms apply to companies that use Brand Workspace ("you").
Brand Workspace is a one-stop shop for brand marketers. In one connected workflow, you can:
- plan a campaign or project, and have the plan flow straight into the next step
- find and choose the right agencies, consultants or other resources ("providers"), and negotiate the contract directly, without an intermediary
- understand what a fair price is, including whether a current provider is good value, across rate-card, project, output and outcome-based pricing
- check finished content before it ships, with an independent review against advertising, health and privacy rules such as FTC, FDA and HIPAA requirements
- see what the work produced, by tracking outcomes and effectiveness
Some of these features are introduced over time. These terms apply to each feature when it is available to you.
Together with your order form and the Privacy Policy, they form the agreement between your company and Goldthread, Inc. ("Goldthread", "we"). If your order form conflicts with these terms, the order form takes priority.
1. Your company is bound
1.1 These terms bind the company you represent, not just you personally. By signing up, signing an order form or accepting an invitation, you confirm that you are authorized to accept them for your company.
1.2 Your users.
- Your organization's admin decides who has access.
- Your company is responsible for everything done under its account, and for removing people who leave.
- People you invite into a search, such as a procurement partner, may use it only for your company.
2. Plans and fees
2.1 Plans. You pay under the plan in your order form, which is either:
- a subscription, which may be flat and unlimited, subject to the fair-use review and overage terms in the order form; or
- a rate card, which charges per search, per follow-up or per other listed unit.
2.2 Invoicing and payment. We invoice as your order form states. Fees do not include taxes. Unless your order form says otherwise, invoices are due within 30 days. Overdue amounts may incur interest of 1.5% per month, or the highest rate the law allows if that is lower.
2.3 Renewal and price changes. Unless your order form says otherwise, subscriptions renew for the same term unless either party gives notice at least 30 days before the end of the current term. We will give at least 60 days' notice of any price change, which takes effect at your next renewal.
2.4 Usage review. For unlimited plans, we may review usage with you. If usage is well above the level the plan was priced for, we may propose an adjustment under the overage terms in your order form.
3. Your content stays yours
3.1 "Your content" means:
- your briefs and uploaded documents
- your chats with our assistant
- your search criteria, shortlists, passes, reasons and notes
- your plans
- your requests, contracts and negotiations with providers
- pricing you share with us
- content you submit for compliance checks
- your roster information, outcome answers and results
- information from tools you connect
You own your content.
3.2 How we use your content. We use it to:
- provide Brand Workspace to you
- keep it secure
- support you
- create aggregated and de-identified data (section 10)
Aggregated and de-identified data is the only form in which your content helps improve Goldthread for other customers. We do not show your content to providers or other customers, except what you choose to send in a request (section 6).
3.3 Confidentiality of briefs. We treat your briefs, documents and decisions as your confidential information. Goldthread staff access them only to run, secure and support the service.
3.4 AI processing.
- Brand Workspace uses AI models, currently from Anthropic and OpenAI, to read your briefs and documents, run the assistant, find and rank providers, help with plans, contracts and price guidance, and check content.
- Google Document AI reads text from scanned documents.
- These providers process your content to provide the service to us, under their business terms. They may keep it for up to 30 days for safety and abuse monitoring.
- Our accounts with them are set so they do not use your content to train their models.
- The assistant is an AI, and its answers can be wrong. See the Privacy Policy.
3.5 Uploaded brief files. When you upload a brief file in chat, we scan it for viruses on our own servers and extract its text. We do not keep the file itself. We keep the extracted text as part of your search.
4. What Brand Workspace tells you
4.1 Information, not advice.
- Search results, rankings, summaries, plans, price guidance and assessments help you decide. They do not guarantee a provider's quality, availability, price, fit or results.
- Profiles come from providers themselves, public sources and AI summaries, and any of these can be incomplete or wrong. Information from public sources is labelled as such.
4.2 Our checks. When a provider joins, we check that the person who signs up represents that company. We do not verify the claims in providers' profiles. Check anything important before you hire.
4.3 Possible conflicts. We may flag possible conflicts, for example a provider's work for a competitor. You decide what matters.
4.4 How results are ordered.
- First, by whether a provider meets your required criteria.
- Then, by how many of your criteria it meets, weighted by the importance you gave each one.
- Then, by our model's assessment of fit, used only to break ties.
Providers cannot pay for a higher ranking.
4.5 Fair-price guidance. Our price guidance compares prices with aggregated market data, under the rules in section 10. It is an estimate to help you negotiate, not a guarantee or an appraisal.
5. Working with providers
5.1 Goldthread is not a party to any agreement you make with a provider, and does not act as your agent. You are responsible for choosing and checking providers, and for your contracts and payments with them.
5.2 Negotiating contracts. Brand Workspace can help you draft, compare and negotiate contract terms with providers. Drafts and suggestions are not legal advice. Review every contract yourself, or with your own legal team, before you sign. The terms you agree are between you and the provider. We may use contract and pricing information in aggregated form under section 10.
6. Requests to providers
6.1 What providers see.
- When you send a request, the provider receives your company's name, so it can check for conflicts.
- It also receives the message and any material you include.
- Do not include information you are not allowed to share.
6.2 Who sees replies. A provider's reply goes only to your company. Providers never see your requests to other providers, or other providers' replies.
6.3 AI summaries. If you use Inbox, our assistant can read your requests and replies to answer your questions, such as "who hasn't replied?". It reads only your own organization's threads.
7. Your roster
7.1 You may add the providers you already work with, with notes such as contract terms, rate cards, renewal dates and a contact person.
7.2 You confirm that you have the right to share this information with us, including under any limits in your contracts with those providers.
7.3 Roster information is visible only to your organization. We use it to provide the service to you, and to create aggregated data under section 10. We never show your contract terms or rate cards to providers or other customers.
8. Compliance checks
8.1 You can submit ads, copy, claims, images and other content for an independent check against advertising, health and privacy rules, such as FTC, FDA and HIPAA requirements. Checks may combine AI review with review by independent experts.
8.2 A check flags possible issues to help you decide. It is not legal or regulatory advice, and it does not guarantee that content is compliant or will not be challenged. You remain responsible for approving content before it is published.
8.3 Do not include patients' health information or other sensitive personal information in content you submit. Goldthread is not designed to hold it and does not act as a HIPAA business associate.
8.4 Check results are visible only to your organization. If you submit work created by a provider, the provider does not see the result unless you share it.
9. Outcomes, results and the context graph
9.1 We may ask whether you hired a provider and how the work went. You can also record results, such as spend, delivery and performance measures, or bring them in from tools you connect.
9.2 How we use outcomes and results.
- For your company: to improve your recommendations and roster insights.
- Across customers: only in aggregated or de-identified form. For example, "brands like you have had success with this provider" is shown only when at least five brand organizations support it.
9.3 We never show other customers which brand hired which provider, what it paid, or what it said about a provider.
9.4 Connected tools. If you connect another tool to Goldthread, you authorize us to access the information you choose to share from it, and to use it to provide the service. You can disconnect a tool at any time. Your use of the other tool is governed by its own terms.
10. Aggregated and de-identified data
10.1 What Goldthread owns. Goldthread owns the aggregated and de-identified data it creates from use of the platform, including data derived from your content and activity. We may use it for any purpose, including:
- benchmarks and market reports
- matching and recommendations
- analytics and research
- training our own models
This right continues after your subscription ends.
10.2 What we promise.
- We will not try to re-identify this data.
- We will not publish anything that identifies your company, your briefs, the providers you hired, or what you paid.
- Benchmarks we publish follow the rules in the Privacy Policy:
- at least five contributors, or seven for price figures where there is enough data
- no single contributor making up 25% or more of a figure
- data at least three months old
- ranges only
11. Future uses of platform data
As Goldthread grows, we plan to use platform data in the ways below. Each row says what the use relies on and what control you have.
| Use | What it means for you | Data it relies on | Your control |
|---|---|---|---|
| Benchmarking and market reports | Reports on typical provider pricing, project sizes and market trends, which you also receive | Aggregated data only (section 10) | Opt out of contributing (section 13) |
| Matching and recommendations | Learning from what brands search for, shortlist, pass on and hire, to improve results for everyone | Your data improves your own results under section 3. It improves other customers' results only in aggregated or de-identified form. | Covered by section 10 |
| Roster and outcome analytics | Insights on your roster, such as renewals, coverage and gaps, plus cross-brand signals | Your own data for your own insights. Cross-brand signals are aggregated across at least five organizations. | Covered by section 10 |
| Goldthread inside other tools and AI agents | Goldthread's search, provider profiles and aggregated insights, available inside third-party AI assistants and agents and through our API. You can also connect your own tools. | Provider profiles and aggregated or de-identified data only. Your content goes only to tools your company connects, never to other customers' tools or agents. | You choose which tools to connect |
| Personalized brief suggestions | Suggestions for a new brief, based on your company's past searches, passes, hires and roster | Your own data, used only for your company | Part of the service |
| Independent expert reviews and ratings | Assessments of providers by Goldthread or independent experts, which you can read | Provider information and public sources. Your feedback is used only in aggregated form, or attributed to you only with your permission each time. | Your permission is needed for attribution |
| Training our own models | Training Goldthread's own AI models to understand briefs and providers better | De-identified data only. Outside AI providers do not train on your data. | Opt out of model training (section 13) |
12. Rules of use
You must not:
- scrape, crawl or bulk-export provider profiles or results
- resell or publish Goldthread content outside your company
- use Goldthread content or outputs to train AI models outside Goldthread
- use Goldthread to collect providers' personal contact details for unrelated marketing
- share your account with people outside your company
- use benchmarks or provider data to coordinate with other buyers
- interfere with or probe the security of the platform
13. Opt-outs
13.1 Your organization's admin can email privacy@goldthread.ai to exclude your company's data from:
- contributing to benchmarks and market reports
- training Goldthread's own AI models
13.2 How an opt-out works.
- It applies to future use within 30 days.
- It does not change reports already published or data already combined into aggregates.
- It does not end these terms, and the service continues.
13.3 Your order form can exclude further uses. If it conflicts with these terms, it takes priority.
14. Confidentiality
14.1 Each party will protect the other's confidential information with reasonable care. Each will use it only for this agreement, and share it only with people who need it and are bound to keep it confidential.
14.2 What counts as confidential.
- Your confidential information includes your content.
- Goldthread's confidential information includes non-public product information and pricing.
14.3 These duties last for the term of the agreement and three years after it. For trade secrets, they last as long as the information remains a trade secret.
15. Publicity and feedback
15.1 Publicity. We will not use your company's name or logo in our marketing without your written permission.
15.2 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
16. Term, ending and your data
16.1 Term. These terms last for as long as you use Brand Workspace. Your subscription term is set out in your order form.
16.2 Ending. Either party may end the agreement if the other materially breaches it and does not fix the breach within 30 days of notice.
16.3 Your data after the agreement ends.
- For 60 days after the agreement ends, you can ask us for an export of your content.
- After that, we delete or de-identify your content within 30 days. We keep only what we must for legal, tax, security or dispute reasons.
- While your account is open, chats and collaboration activity on a search are deleted after 13 months without activity.
- Aggregated and de-identified data stays.
17. Warranties and liability
17.1 We will provide Brand Workspace with reasonable skill and care. Otherwise, it is provided "as is". To the extent the law allows, we disclaim implied warranties.
17.2 Limits on liability. To the extent the law allows:
- Neither party is liable for indirect or consequential losses, or for lost profits.
- Each party's total liability is limited to the fees you paid in the 12 months before the claim.
These limits do not apply to breaches of confidentiality, to either party's obligations under section 17.3, or to your payment obligations.
17.3 Claims by others.
- If someone claims that Goldthread's software infringes their intellectual property, we will defend you and cover the costs of that claim.
- If someone makes a claim against Goldthread because of content you upload or send, you will defend Goldthread and cover the costs of that claim.
17.4 Data processing agreement. If you need a data processing agreement, we will provide one on request.
18. Changes to these terms
We may update these terms. We will give at least 30 days' notice of material changes. Changes that reduce your rights take effect at your next renewal, unless you agree earlier or the law requires the change sooner.
19. Law and disputes
19.1 Governing law. California law governs these terms, without regard to its conflict-of-laws rules.
19.2 Informal resolution. Before starting a claim, the party making it must send the other a written notice and allow 30 days to resolve it informally.
19.3 Arbitration. Any dispute that is not resolved informally will be decided by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, in San Francisco, California. Either party may ask a court for an injunction to protect its intellectual property or confidential information.
19.4 No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class or representative proceeding.
19.5 Time limit. Any claim must be brought within one year after it arises, except claims for unpaid fees.
